Training, support and consulting in Côte d'Ivoire
LL REMAKE AFRICA · Version 1.0 · Ivorian law & OHADA
These General Terms of Sale (the “Terms”) govern the rights and obligations of the parties when purchasing vocational training, support services, project structuring and consulting offered by LL REMAKE AFRICA in Côte d'Ivoire and in Africa. Any order implies that the Client acknowledges having read, understood and accepted these Terms.
“The Training Organisation” (the “TO”) means LL REMAKE AFRICA, a SARL with share capital of XOF 1,000,000, RCCM CI-ABJ-03-2026-B13-09907, registered office Abidjan Cocody, Riviera 3 Triangle, lot 253, block 21, represented by its manager Ms BIYOT-NZOUMBA Karmelle Falcia. “The Client” means the natural or legal person wishing to receive professional training. The following are also defined: “Training”, “Participant(s)”, “Support”, “Open Training”, “In-house Training” and “Documentation”.

The Client declares that it has full legal capacity to contract. If acting on behalf of a legal entity, it declares that it has the authority necessary to bind it.
Training and services can be consulted on llremake.studio. 3.1 Open Training, open to several organisations, in person, remotely or hybrid. 3.2 In-house Training, designed to measure and subject to a detailed quotation. 3.3 Online training, virtual classrooms and hybrid formats. 3.4 Support and consulting. 3.5 The TO may change prices and content; these changes do not apply to orders already confirmed.
Registration (signed form, online registration or purchase order) becomes final on receipt of validation, the signed agreement and, where applicable, the funding approval. Only the invitation confirms that the session will take place. For In-house Training, registration is final on receipt of the signed quotation. An invoice is sent after confirmation.
The TO is free to choose its teaching methods. One day = 7 hours, half a day = 3.5 hours. The Documentation is a teaching aid and not an exhaustive manual. The TO checks progress (quizzes, case studies, role plays). The internal rules (in person) and the code of conduct (remote) apply. Equipment and connection remain the Participant's responsibility. At the end of the Training: certificate, attendance sheet, evaluation.
The consumer Client (a natural person acting for non-professional purposes) benefits from the right of withdrawal provided for by Law No. 2016-412 of 15 June 2016 on consumer protection (Article 45). In accordance with Article 47 of this law, which is a matter of public policy, no payment may be required or received from the consumer before the end of this withdrawal period. These provisions do not apply to professional Clients acting in the course of their business.
7.1 Prices : expressed in CFA francs (XOF), including or excluding tax depending on the applicable regime, value added tax being, where applicable, that in force in Côte d'Ivoire. 7.2 Payment : by bank transfer, bank card or any other agreed means of payment (in particular electronic payment). For online training, full payment is made before access. 7.3 Late payment : any late payment may give rise to penalties and, after a formal notice that has remained without effect, to the suspension of services. 7.4 Deposit : a deposit may be requested for In-house Training and long pathways, which is retained by the TO in the event of cancellation.
The Client may apply for funding from the schemes applicable in Côte d'Ivoire. Services are, depending on the case, funded directly by the organisation or the Client; funding arrangements are specified during scoping. It is the Client's responsibility to take any funding steps before the start of the Training and to ensure their approval; failing approval, the cost is borne in full by the Client.
Any request for cancellation or postponement must be notified in writing. At the Client's initiative, scale (Open Training) :

A postponement is equivalent to a cancellation followed by a new registration. For In-house Training, the scale is increased by any costs already incurred. The price is due in full once the Training has started or access codes have been provided, subject to the consumer's right of withdrawal. At the TO's initiative : in the event of insufficient numbers, the TO may cancel or postpone with reasonable notice and offers a free postponement or a full refund of the sums paid. Force majeure suspends the parties' obligations.
All Documentation (materials, methods, tools, scripts, designs, trademarks, logos, databases) is protected in Côte d'Ivoire by intellectual property law and by theBangui Agreement establishing the African Intellectual Property Organisation (OAPI), of which Côte d'Ivoire is a member. The Documentation remains the exclusive property of the TO. The Client has a non-exclusive, personal and non-transferable right of use, for strictly internal purposes, excluding any commercial exploitation, reproduction, modification or communication to third parties without prior written authorisation. Any breach engages the liability of its author.
Access to certain features may require the creation of an account, with accurate information. The Client is solely responsible for the confidentiality of its credentials and for the activity carried out through its account. The TO implements appropriate security measures without being able to guarantee absolute security.
Any request or complaint may be sent to hello@llremake.studio. The TO acknowledges receipt within a reasonable time and provides a reasoned reply.
The learning objectives are an obligation of means and not of result. The Client is solely responsible for choosing the Training and checking its suitability. The TO's liability is limited to direct damage and may not exceed the amount actually paid for the Training concerned.
LL REMAKE AFRICA processes personal data in accordance with Ivorian Law No. 2013-450 of 19 June 2013, under the supervision ofARTCI (Protection Authority). Purposes, recipients, retention periods and data subjects' rights are detailed in the Africa privacy policy.
The TO operates in accordance with the applicable Ivorian regulations. It refrains from any use of undeclared work and from any corrupt practice.
The Terms can be consulted online and may be amended; the applicable Terms are those in force on the date of the order. The invalidity of one clause does not affect the others. The Terms, the quotation and the agreement constitute the entire agreement. The Client may not assign its rights without consent; the TO may subcontract while remaining responsible.
These Terms are governed by Ivorian law and, for commercial aspects, by the Uniform Acts ofOHADA, in particular the Uniform Act on General Commercial Law. In the event of difficulty, the parties undertake to seek an amicable settlement first. Failing that, any dispute falls within the jurisdiction of the Ivorian courts, and in particular the Abidjan Commercial Court for disputes within its jurisdiction.
The Client declares that it has read, understood and accepted these Terms without reservation. Acceptance is expressed by ticking a box during online registration, by signing a quotation or agreement, or by any other unequivocal means.
These General Terms of Sale come into force on their date of publication and apply to orders placed from that date. They are available at any time on llremake.studio.
